Summary:
We are seeking a highly organized and detail-oriented Paralegal to join our client's team, a leading private corporate consulting firm. The candidate will support the legal department by providing comprehensive legal and administrative assistance to attorneys. This role requires a strong understanding of corporate law, excellent research skills, and the ability to manage multiple tasks efficiently.
Key Responsibilities:
Conduct thorough legal research on corporate law matters, including regulations, case law, and legal precedents. Analyze findings and prepare detailed reports for attorneys.
Draft, review, and organize various legal documents such as contracts, agreements, corporate resolutions, and correspondence. Ensure all documents comply with applicable laws and regulations.
Assist attorneys in managing case files, including organizing documents, maintaining case calendars, and tracking deadlines. Coordinate and prepare for meetings, hearings, and court appearances.
Serve as a point of contact for clients, providing updates on case status and addressing client inquiries under attorney supervision. Maintain a high level of professionalism and confidentiality in all client interactions.
Support the preparation and filing of corporate documents, including incorporation papers, annual reports, and compliance filings. Assist in maintaining corporate records and minute books.
Conduct due diligence for mergers, acquisitions, and other corporate transactions. Compile and review relevant documents, prepare summaries, and identify potential legal issues.
Provide general administrative support to the legal team, including scheduling appointments, managing correspondence, and handling phone calls. Assist with billing and invoicing as needed.
Monitor and ensure compliance with applicable laws and regulations. Assist in developing and implementing compliance policies and procedures.
Qualifications:
Bachelor's degree or a Paralegal Certificate from an accredited institution.
Minimum of 2-4 years of experience as a paralegal, preferably in a corporate or consulting firm environment.
Strong knowledge of corporate law and legal procedures.
Excellent research, analytical, and writing skills.
Proficiency in Microsoft Office Suite and legal research databases (e.g., LexisNexis, Westlaw).
Exceptional organizational and time-management abilities.
Strong attention to detail and accuracy.
Ability to work independently and collaboratively in a fast-paced environment.
Excellent communication and interpersonal skills.
Preferred Qualifications:
Experience with corporate transactions, mergers, and acquisitions.
Familiarity with corporate governance and compliance.
Knowledge of document management systems.
Working Conditions:
May require occasional travel for meetings and court appearances.
Full-time position with standard business hours, with some overtime as necessary.
