The successful candidate will be responsible for providing strategic legal counsel on a variety of corporate and transactional matters, with a focus on balancing business objectives with legal compliance and risks. This role involves working closely with internal teams on capital raising, mergers and acquisitions, and other strategic transactions, as well as managing corporate governance and subsidiary matters. The ideal candidate should have a JD degree, be admitted to the California state bar, and have at least 5 years of relevant experience, including a background in corporate and securities work, preferably with in-house experience.

Key responsibilities for the Senior Corporate Counsel include drafting legal documents, conducting due diligence, and supporting post-closing integration efforts. The role also requires the ability to research and interpret relevant laws and regulations, develop and implement compliance policies, and assist with sustainability and engagement activities. The candidate should be adept at managing a heavy workload, possess excellent analytical and communication skills, and be able to collaborate with cross-functional teams. A sense of humor, a disdain for drama, and a passion for learning and getting things done are also valued attributes.
