As
Legal Counsel
you'll draft, review, negotiate, and finalize commercial agreements, including marketing services, data processing, contractor, licensing, and SaaS agreements. You will implement and apply your knowledge to all your tasks on industry-specific applicable laws and regulations, including advertising laws, labor laws, privacy regulations (e.g., GDPR and CPRA), mergers and acquisitions, affiliate channels, consumer protection laws, and tax regulations. You will support your manager in managing the company's intellectual property portfolio. This role requires understanding business goals and objectives. You must have top-notch oral and written communication skills, excellent interpersonal skills, the ability to anticipate and deliver legal support to a dynamic team of professionals, and the flexibility to manage various assignments simultaneously.
Duties and Responsibilities:
Engage strong analytic capabilities to advise on legal risks, commercial strategies, and other matters related to ad sales, commercial incentives, and content creation.
Identify opportunities to improve existing procedures and develop strategies to scale the use of legal resources in the company.
Draft, review, and negotiate sales transactions, focusing on marketing services agreements, insertion orders, and licensing agreements.
Provide strategic and tactical advice regarding contract interpretation and claims.
Research, strategize, and advise on regulations and policies relevant to product goals and objectives, including obligations and risk exposure, including, without limitation, new business opportunities without precedent.
Manage risk exposure and ensure that agreements accurately reflect business and compliance needs.
Work cross-functionally with other teams in privacy, general compliance, intellectual property, and technical delivery matters.
Stay current on relevant U.S. and international laws and regulations, especially those related to privacy and content regulation.
Develop and optimize compliance programs, internal policies, and training as needed.

Requirements:
At least three (3) years of relevant experience in a law firm or in-house legal department.
Experience working with online media.
Strong verbal and written communication skills supporting interaction with various levels of employees and management.
Proven track record negotiating various commercial agreements, including sales, IP licensing, vendor, partnerships, and advertising.
Ability to work independently, meet deadlines, and resolve complex problems with a comprehensive business understanding.
Outstanding communication and negotiation skills, with the ability to interact effectively with members at all organizational levels.
You have experience developing and implementing compliance programs independently.
Preferred Requirements:
Experience with the FTC Act, TCPA, CPRA, GDPR, ECOA, HIPAA, RESPA, FCRA, and industry-specific regulations that impact digital advertising.
Experience with artificial intelligence and emerging technologies.
